Overview
Welcome to OnlyPlanks. The terms "we", "us" and "our" refer to CrispyRed Group Pty Ltd (ABN 49 675 752 244, ACN 675 752 244) trading as OnlyPlanks. OnlyPlanks operates this store and website, including all related information, content, features, tools, products and services, to provide you with a shopping experience (the "Services"). OnlyPlanks is powered by Shopify, which enables us to provide the Services to you.
These terms and conditions, together with any policies referenced here (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.
Please read these Terms carefully. They include important information about your legal rights, including warranty disclaimers and limitations of liability. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot be excluded.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services.
Section 1 - Access and account
By agreeing to these Terms, you represent that you are at least 18 years of age (or the age of majority in your state or territory of residence) and, if a minor uses the Services on a device you own or manage, you have consented to that use.
To use the Services you may be asked to provide information such as your email address and billing, payment and shipping details. You represent that this information is correct, current and complete, and that you have the rights to provide it.
You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.
Section 2 - Our products
We aim to represent products accurately. Colours and appearance can differ depending on your screen and settings. Product photography and room scenes are guides only.
We do not warrant that appearance or quality will match your expectations or look identical to images on the Services. Descriptions may change without notice. We may discontinue any product and limit quantities by person, region or jurisdiction.
Sold by the box. Flooring is sold in whole cartons only. Each product page states how many square metres each box covers. If you enter an area in m², we round up to whole boxes so you receive enough floor. You pay for the boxes required, not a partial carton.
Supply only. OnlyPlanks sells flooring product. Installation, site prep and related trade services are not included unless expressly stated.
Section 3 - Orders
When you place an order, you offer to purchase. We may accept or decline any order. Your order is not accepted until we confirm acceptance and payment has been received and processed. Review your order carefully before submitting. We may be unable to cancel after acceptance. If we change or cancel an order, we will try to notify you using the contact details you provided.
Purchases are subject to our Refund Policy.
Unless you purchase as a Trade customer under our Trade Unlock program (ABN holders), you represent that purchases are for your own personal or household use and not for commercial resale or export. Trade Unlock customers may purchase for trade use subject to the Trade terms shown on the Trade Unlock product and related pages.
Section 4 - Prices and billing
Prices, discounts and promotions may change without notice. The price charged is the price at the time the order is placed, as shown in your order confirmation. Unless expressly stated, posted prices for flooring are GST-inclusive where required. Shipping, handling, customs or import charges (if any) are separate.
Prices on onlyplanks.com.au may differ from other channels or third-party stores. Promotions may have separate terms. If promotion terms conflict with these Terms, the promotion terms apply for that promotion.
You agree to provide current, complete and accurate purchase and payment information, and to keep account details up to date.
You represent that (i) payment details you provide are true and complete, (ii) you are authorised to use that payment method, (iii) charges will be honoured, and (iv) you will pay the amounts due including applicable shipping and taxes.
Section 5 - Shipping and delivery
Our shipping model is described in our Shipping policy and How shipping works page. In summary:
- Collect from warehouse may be offered at checkout free of charge.
- Depot and door freight are generally arranged after purchase based on your postcode. They are not a single national flat rate. You typically pay the carrier direct. We do not add freight markup.
Delivery times are estimates only and are not guaranteed. We are not liable for delays caused by carriers, suppliers, customs, or events outside our reasonable control. Risk in Collect orders passes when you collect. Where a carrier is used, risk passes according to the carrier arrangement notified to you.
Section 6 - Intellectual property
The Services, including trademarks, brands, text, displays, images, graphics, video and audio, and their arrangement, are owned by us, our affiliates or licensors, or by product suppliers as applicable, and are protected by Australian and international intellectual property laws.
These Terms allow personal use of the Services only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit materials from the Services without our prior written consent, except as allowed by law. Nothing here grants a licence under any patent, trademark or copyright of OnlyPlanks, Shopify or any third party beyond what is expressly stated.
OnlyPlanks names, logos, product and service names, designs and slogans are trademarks of CrispyRed Group Pty Ltd or its licensors. Shopify names and logos are trademarks of Shopify. Supplier brand names remain the property of their owners. You must not use our trademarks without prior written permission.
Section 7 - Optional tools
You may get access to third-party tools we do not monitor or control. Those tools are provided "as is" and "as available" without warranties or endorsement. We have no liability arising from your use of optional third-party tools. Use them at your own risk and review the third party's terms. New features we add form part of the Services and these Terms.
Section 8 - Third-party links
The Services may contain third-party materials and links. We are not responsible for examining or evaluating third-party content or sites. If you leave the Services, you do so at your own risk. We are not liable for harm related to third-party sites or products. Complaints about third-party products or services should go to that third party.
Section 9 - Relationship with Shopify
OnlyPlanks is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make in our store are made directly with CrispyRed Group Pty Ltd trading as OnlyPlanks. By using the Services, you acknowledge that Shopify is not responsible for any aspect of sales between you and us, including injury, damage or loss from purchased products and services. You release Shopify and its affiliates from claims, damages and liabilities arising from or related to your purchases and transactions with us.
Section 10 - Privacy policy
Personal information we collect through the Services is subject to our Privacy Policy. Certain information may also be subject to Shopify's Privacy Policy.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services. Information you submit may be transmitted to Shopify and other service providers, which may be located outside Australia, to provide the Services. See our Privacy Policy for details.
Section 11 - Feedback
If you submit ideas, suggestions, feedback, reviews or similar content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use and improving the Services.
You represent that you own or have rights to the Feedback, you have disclosed any compensation related to it, and it complies with these Terms. We need not keep Feedback confidential, pay for it, or respond. We may remove Feedback we consider unlawful, offensive or otherwise objectionable.
Feedback must not violate third-party rights or contain unlawful, abusive or harmful content or malware. Do not misrepresent the origin of Feedback. You are solely responsible for Feedback you submit.
Section 12 - Errors, inaccuracies and omissions
Information on the Services may contain errors or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct information and change or cancel orders if information is inaccurate, including after you submit an order, as permitted by law. Where Australian Consumer Law applies, your rights under that law are not affected.
Section 13 - Prohibited uses
You may use the Services only for lawful purposes. You must not use the Services to break the law, infringe intellectual property, harass others, transmit false information, spam, impersonate others, upload malware, scrape or harvest data without permission, or interfere with security or access controls. We may suspend or terminate access if we determine you have breached these Terms.
Section 14 - Agents
This section applies if you use or enable an "Agent" (software that takes autonomous or semi-autonomous action) to access or interact with the Services.
No Agent may access the Services unless it identifies itself as required below, or if we have asked that Agent not to access the Services. We may limit Agent access by technical measures.
Agents must: (i) identify Agent requests in the HTTP user-agent string as "Agent/[agent name]"; (ii) not conceal that interactions are from an Agent (including by mimicking humans or bypassing CAPTCHAs meant to distinguish humans); (iii) respond truthfully to prompts asking whether the actor is human or computer; and (iv) not circumvent measures that block or control Agent access.
Section 15 - Termination
We may terminate this agreement or your access to the Services at any time without notice. You remain liable for amounts due up to termination. Provisions that by their nature should survive (including intellectual property, feedback, disclaimers, liability limits, indemnity, governing law and privacy) continue after termination.
Section 16 - Disclaimer of warranties
Information on the Services is general information only. We do not warrant completeness or usefulness. Reliance is at your own risk.
Except as expressly stated by us, and except for non-excludable guarantees under the Australian Consumer Law, the Services and products are provided "as is" and "as available" without other warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose. We do not guarantee uninterrupted, secure or error-free use of the Services.
If you are a consumer under the Australian Consumer Law, our goods come with guarantees that cannot be excluded. You may be entitled to a replacement or refund for a major failure and compensation for other reasonably foreseeable loss or damage. You may also be entitled to have goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
Section 17 - Limitation of liability
To the fullest extent permitted by law, and subject to non-excludable rights under the Australian Consumer Law, OnlyPlanks, our partners, officers, employees, agents and licensors (and those of Shopify) are not liable for any indirect, incidental, punitive, special or consequential damages, or lost profits, revenue, savings or data, arising from your use of the Services or products purchased through them, whether in contract, tort (including negligence) or otherwise, even if advised of the possibility.
Where liability cannot be excluded but can be limited, our liability is limited to resupply of the Services or products, or payment of the cost of resupply, at our option, as permitted by law.
Section 18 - Indemnification
You agree to indemnify and hold harmless CrispyRed Group Pty Ltd trading as OnlyPlanks, Shopify, and our and their officers, employees and agents from losses, damages and claims (including reasonable legal fees) arising from your breach of these Terms, your violation of law or third-party rights, or your use of the Services, except to the extent caused by our fraud or wilful misconduct.
Section 19 - Severability
If any provision is unlawful or unenforceable, it is enforceable to the maximum extent permitted, and the remainder of these Terms continues in effect.
Section 20 - Waiver; entire agreement
Failure to enforce any provision is not a waiver. These Terms and policies we post for the Services are the entire agreement between you and us about the Services, and supersede prior discussions. Ambiguities are not construed against the drafting party.
Section 21 - Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without notice.
Section 22 - Governing law
These Terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.
Section 23 - Headings
Headings are for convenience only and do not affect interpretation.
Section 24 - Changes to Terms of Service
The current Terms are available on this page. We may update these Terms by posting changes on the website. Material changes will be notified as required by law. Continued use after changes take effect is acceptance of the updated Terms.
